Craft Host Agreement
The contract between Happy Place Craft Space and each verified Craft Host on our marketplace.

This Craft Host Agreement (the "Agreement") is entered into between PassionFlower Marketing LLC, a Florida limited liability company d/b/a Happy Place Craft Space ("Happy Place," "we," "us," or "our"), and the individual or entity applying to be listed as a verified Craft Host ("Host," "you," or "your"). By submitting a Host application, accepting a booking, or activating a Craft Host membership, you agree to this Agreement, our Terms of Service, and all related policies referenced below.
1. Independent contractor status
You are an independent contractor. Nothing in this Agreement creates an employment, agency, joint venture, franchise, or partnership relationship between you and Happy Place.
- You set your own schedule, availability, service area, formats, and (within marketplace guidelines) pricing.
- You control the means and methods by which you deliver events, subject to our published safety and conduct policies.
- Happy Place does not employ, direct, or supervise you and provides no wages, benefits, workers' compensation, unemployment insurance, or tax withholding.
- You are solely responsible for reporting and paying all income, self-employment, sales, and other taxes on amounts you earn through the marketplace. We may issue tax forms (e.g., IRS Form 1099-K) where required by law.
2. Licensing, insurance, and compliance
You are solely responsible for complying with all applicable local, state, and federal laws, including but not limited to:
- Business registration, licensing, permitting, and zoning requirements for the services you provide.
- Sales tax collection and remittance where applicable.
- Maintaining appropriate general liability insurance and, where applicable, professional liability, product liability, and premises coverage. Happy Place may require proof of coverage before you list certain event types.
- Any additional child-safety, food-handling, or venue-specific requirements imposed by your city, county, state, or event location.
3. Verification and background checks
Listing as a verified Craft Host requires identity verification and a background check conducted under a separate Background Check Authorization. You agree to provide truthful information, promptly update material changes (e.g., new criminal matters, loss of licensure), and re-verify at Happy Place's reasonable request. Happy Place may decline, suspend, or remove any Host at its sole discretion based on verification results, credible safety complaints, or policy violations.
4. Safety, supervision, and child protection
- You are solely responsible for the planning, staffing, supervision, safety, and operation of your events.
- A parent or legal guardian must remain on-site for the duration of every event involving minors. You may not accept drop-off arrangements.
- You must follow our Host Code of Conduct and Child Safety Policy, including no one-on-one unsupervised interaction with a minor, and immediate reporting of any injury, incident, or safety concern to Happy Place.
- You will provide age-appropriate materials, disclose known allergens and small-parts risks, and refuse participation where a documented safety concern exists.
5. Bookings, payments, and payouts
- Marketplace facilitation. Happy Place facilitates discovery, booking, messaging, and payment. Each booking is a direct agreement between you and the customer.
- Platform fee. Happy Place collects a platform fee (currently $2.00 plus 5% of the booking total) from each booking at checkout. We may adjust the fee on 30 days' notice.
- Payment processing. Payments are processed by Stripe under Stripe's Connected Account Agreement. You must maintain an active, in-good-standing Stripe account to receive payouts.
- Payout release. Net booking proceeds (booking total less platform fees, refunds, and adjustments) are released to you after the event has taken place, generally within 3–7 business days, subject to Stripe's payout schedule.
- Holds and reserves. Happy Place or Stripe may place a hold or reserve on funds while investigating a dispute, chargeback, safety complaint, or suspected policy violation.
- Chargebacks. You are responsible for chargeback losses and related fees attributable to your event, misrepresentation, or failure to perform.
6. Cancellations and rescheduling
- You must publish a clear cancellation window on your profile and honor it consistently.
- If you cancel a confirmed booking, the customer receives a full refund. Repeated or last-minute Host cancellations may result in reduced ranking, suspension, or removal.
- If the customer cancels, refunds follow your published policy. Happy Place platform fees are non-refundable except where required by law or where Happy Place elects to refund at its discretion.
- Force majeure events (severe weather, public-safety orders, venue loss) will be handled in good faith; where possible, we will help rebook.
7. Disputes and intervention
- Customers may raise a dispute within 7 days of a booking. Happy Place will attempt to mediate in good faith but is not a party to your agreement with the customer.
- Where warranted, Happy Place may pause payout, issue a refund from held funds, offset future payouts, or remove your listing.
- Happy Place may intervene at any time to protect child safety, investigate policy violations, comply with law, or preserve trust in the marketplace.
- You agree to cooperate promptly and truthfully with any investigation.
8. Craft Host membership
Public listing and booking access require an active Craft Host membership (currently $39 or $99 per month, or $990 per year). Membership auto-renews until cancelled per our Subscription Terms. If your membership lapses, your profile will be unpublished and pending bookings may be transferred to another verified Host.
9. Content, marks, and publicity
- You retain ownership of the content you submit (profile copy, photos, event descriptions) and grant Happy Place a worldwide, royalty-free license to host, display, reformat, and use it to operate and promote the marketplace.
- You represent that you own or have rights to all submitted content and that photos of minors are covered by a signed Media/Photo Release from the child's parent or guardian.
- The "Happy Place Craft Space" name, logos, and brand assets are owned by Happy Place. You may use them only per brand guidelines we provide and only while this Agreement is in effect.
10. Prohibited conduct
- No solicitation of customers off-platform to circumvent platform fees.
- No harassment, discrimination, or unsafe conduct toward children, families, other Hosts, or Happy Place staff.
- No misrepresentation of experience, credentials, insurance, or verification status.
- No use of the marketplace to violate any law, third-party right, or Happy Place policy.
11. Confidentiality
You will treat customer contact information, minors' information, booking details, and any non-public Happy Place information as confidential and use it only to perform your services under this Agreement.
12. Indemnification
You agree to defend, indemnify, and hold harmless Happy Place, PassionFlower Marketing LLC, and their officers, employees, and contractors from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your events, services, or content; (b) your interactions with customers or other users; (c) your breach of this Agreement or any applicable law; or (d) any injury, illness, or property damage occurring in connection with your event.
13. Disclaimers and limitation of liability
The marketplace is provided "as is" and "as available." Happy Place makes no guarantees regarding booking volume, earnings, or the conduct of customers. To the fullest extent permitted by law, Happy Place's total liability to you for any claim relating to this Agreement will not exceed the greater of $100 or the platform fees you paid to Happy Place in the twelve months before the claim arose. Neither party will be liable for indirect, incidental, special, consequential, or punitive damages.
14. Term and termination
- This Agreement begins when you are approved as a verified Host and continues until terminated.
- Either party may terminate for convenience on 15 days' written notice (email is sufficient).
- Happy Place may suspend or terminate immediately for safety concerns, verification failures, chargeback abuse, fraud, or material breach.
- Sections regarding taxes, indemnification, confidentiality, disclaimers, limitation of liability, dispute resolution, and governing law survive termination.
15. Governing law and disputes
This Agreement is governed by the laws of the State of Florida, USA, without regard to conflict-of-laws rules. The parties agree that any dispute will be resolved exclusively in the state or federal courts located in Volusia County, Florida, and each party consents to personal jurisdiction and venue there.
16. Intellectual property
As between the parties, Happy Place exclusively owns all right, title, and interest in and to the Happy Place Craft Space marketplace and platform, including without limitation the Happy Place and Happy Place Craft Space names, logos, and brand assets; Adventure Boxes and their names, packaging, and contents; monthly themes and calendars; craft curriculum, lesson plans, project templates, printables, and instructions; Host training materials; software, algorithms, matching systems, badges, and other proprietary systems; and any derivative works of the foregoing (collectively, the "Happy Place IP").
- You receive a limited, revocable, non-exclusive, non-transferable license to use the Happy Place IP solely to perform bookings arranged through the marketplace and only while this Agreement is in effect.
- You will not copy, reproduce, adapt, translate, publish, sublicense, sell, or create derivative works of the Happy Place IP, and you will not recreate, reproduce, resell, or distribute Happy Place Adventure Boxes, curriculum, monthly themes, or lesson plans outside the marketplace.
- You will not remove or alter any Happy Place notices, marks, or attributions, and you will not register or attempt to register any Happy Place name, mark, or confusingly similar variation.
- This section survives termination of this Agreement.
17. Non-circumvention
You agree that customers, families, residential communities, schools, and other partners first introduced to you through the Happy Place marketplace (each an "Introduced Customer") are a protected asset of Happy Place.
- For twenty-four (24) months following your first booking with an Introduced Customer, you will not knowingly accept, solicit, or fulfill direct bookings or recurring engagements from that Introduced Customer outside the marketplace without Happy Place's prior written permission.
- You will not encourage any Introduced Customer to book, pay, communicate, or contract with you off-platform to avoid platform fees or marketplace policies.
- If an Introduced Customer requests to work with you directly, you must route the booking through the marketplace or promptly notify Happy Place at hosts@happyplacecraftspace.com.
- In addition to any other remedy, Happy Place may charge a make-whole fee equal to the platform fees it would have earned on the circumvented bookings, and this section survives termination.
18. Non-solicitation of Hosts (community partners)
The same protection runs the other direction. Residential communities, schools, and other partners agree in their own Community Partnership terms not to recruit, hire, or engage verified Craft Hosts introduced through the marketplace outside of Happy Place for twenty-four (24) months. If you become aware of any attempt to do so, please notify Happy Place promptly.
19. Minimum age
You represent that you are at least 18 years of age and legally able to enter into this Agreement. Hosts under 18 are not eligible to be listed on the marketplace or receive payouts.
20. Accessibility
You will make good-faith efforts to comply with the Americans with Disabilities Act (ADA) and analogous state and local accessibility laws applicable to your events. Where feasible, you will provide reasonable accommodations for participants with disabilities, describe accessibility features and limitations on your listings, and respond to accommodation requests in advance of the event.
21. Emergency procedures
For every event, you will maintain and be prepared to execute the following:
- A written emergency contact for the Host and, when applicable, the venue.
- A stocked, age-appropriate first aid kit accessible during the event.
- A basic emergency evacuation plan for the event location, including the nearest exit and rally point.
- Working means to call 911 (or local emergency services) from the event location.
- Prompt reporting to Happy Place of any injury, illness, medical event, property damage, or safety-related incident affecting a participant, no later than 24 hours after the incident, using the reporting channel provided by Happy Place.
22. Mandatory reporting of child abuse
If you observe or reasonably suspect abuse, neglect, exploitation, or imminent danger to a child, you must immediately report the concern to 911 or the applicable child-welfare authority as required by law in your jurisdiction, take reasonable steps to protect the child, and separately notify Happy Place at hosts@happyplacecraftspace.com of any incident affecting a participant's safety. Nothing in this Agreement requires or permits you to delay a report to authorities.

24. Changes
Happy Place may update this Agreement from time to time. Material changes will be posted here with an updated effective date, and active Hosts will receive notice by email or in-app message at least 15 days before the changes take effect. Continued use of the marketplace after the effective date constitutes acceptance.
