Vendor Agreement
Baseline terms for food trucks, entertainers, rental vendors, and other third-party vendors participating in a Happy Place event.

This document is issued by PassionFlower Marketing LLC, a Florida limited liability company d/b/a Happy Place Craft Space ("Happy Place," "we," "us," or "our"). It supplements, and should be read together with, our Terms of Service, Privacy Policy, Refund Policy, and Craft Host Agreement.
1. Vendor status
Vendor is an independent contractor and not an employee, agent, or partner of Happy Place. Vendor is solely responsible for its personnel, equipment, permits, taxes, and insurance.
2. Licenses and insurance
- Vendor must maintain all applicable business licenses, food service permits, and mobile-vendor permits required by the venue and jurisdiction.
- Vendor must carry general liability insurance of at least $1,000,000 per occurrence and provide a certificate of insurance listing Happy Place and, where required, the venue as additional insureds.
- Food vendors must maintain current health-department certification and follow all food-safety requirements.
3. Safety and conduct
- Vendor personnel must behave professionally around children and families and follow the Host Code of Conduct where applicable.
- Vendor is responsible for the safe setup, operation, and teardown of its equipment.
- Vendor must comply with fire code, electrical, and generator restrictions at each venue.
4. Payment and cancellation
Payment terms, cancellation notice, and weather cancellation are set in the specific booking confirmation. Absent a specific term, Vendor may cancel with at least 14 days' notice; Happy Place may cancel for weather, safety, or venue closure without penalty.
5. Indemnification
Vendor will indemnify and hold harmless Happy Place, PassionFlower Marketing LLC, and the venue from any claim arising out of Vendor's products, services, personnel, or negligence.
6. No exclusivity
Nothing in this Agreement grants Vendor exclusivity at any Happy Place event or with any Community Partner unless expressly stated in writing.
7. Governing law
This Agreement is governed by Florida law. Venue for any dispute lies in Volusia County, Florida.
